Schneider Electric to buy PTC for $22.6 billion in all-cash industrial software deal

The company that sells the hardware on the factory floor is paying cash for the software that designs what the factory makes.

Schneider Electric agreed on Monday to acquire Boston-based PTC for $205 a share in cash, valuing the industrial software maker's equity at roughly $22.6 billion. The price is about a 42% premium to PTC's last close, and PTC's board resolved to recommend the merger agreement to shareholders. Schneider plans to fund the purchase with a mix of newly issued equity and new debt, and expects roughly 250 million euros of annual cost savings by the third year after closing plus about 800 million euros of revenue synergies. Completion is expected in the third quarter of 2027, subject to a PTC shareholder vote and regulatory approvals.

Scripture for Reflection

“The end of a matter is better than the beginning, and a patient spirit is better than a proud one.”

A bargain that will not be finished for nearly two years is a good moment for us to practice patience in our own unfinished work.

Scripture for Reflection

“Instruct those who are rich in the present age not to be conceited and not to put their hope in the uncertainty of wealth, but in God, who richly provides all things for us to enjoy.”

Wealth is an uncertain thing to rest our hope on, however many zeros are printed beside it.

ESA's Juice probe used Earth as a slingshot on its long way to Jupiter

Twenty degrees, 3.5 km/s The Jupiter Icy Moons Explorer passed 8,640 kilometers above the Indian Ocean on September 28, turning 20 degrees and gaining 3.5 kilometers per second while spending only a small amount of the propellant reserved for the maneuver.

Scripture for Reflection

“Lift up your eyes on high: Who created all these? He leads forth the starry host by number; He calls each one by name. Because of His great power and mighty strength, not one of them is missing.”

A journey measured in years and millions of miles is an invitation to lift our eyes.

Letters to the King
What is the first thing you would say to someone who has just failed in public?
From the Baker's own shelf

I would say your name. Not the headline, not the number, not the word the crowd has chosen for you. Your name. I have been the boy with five smooth stones and a great deal of luck in the telling, and I have also been the king caught out, with a prophet in my doorway and nowhere left to hide. So hear it from one who knows both ends of the street: the ground holds either way. Failure in public is simply failure with the shutters open. Everyone else is failing behind the curtains and calling it privacy. So sit down. Eat something; you have forgotten to. Let the noise run its lap, because noise always tires before people do. Then, when it is quiet, we will look at the thing plainly and sort it into two piles: what was truly yours to carry, and what was never in your hands at all. Repent of the first pile. Set the second one down. And then begin again at the next small faithful thing, which is usually smaller and more ordinary than you expect. The harp still works after the worst days of my life. I checked.
